Appointments to Boards of Auckland Council CCOs

The list of directors and chairs for the Auckland Council’s new council controlled organisations was agreed to by Cabinet last week, Minister for Local Government Rodney Hide said.

Minister Hide said that those chosen were the elite in their respective fields, and testament to the quality of structure and organisation the new Auckland Council represents.

“The Government has been fortunate in being able to appoint men and women of such high calibre. In New Zealand, we have a small, but rich, pool of talent, and these are people whose talents would be welcome anywhere in the world. What is more, they are all Aucklanders,” he said.

“This CCO team has extensive experience in a multitude of sectors, from finance to diplomacy. It includes a solid foundation of eleven people who have experience in working on the boards of the Auckland region’s existing CCOs.”

Transport Minister Steven Joyce also welcomed the appointments to Auckland Transport, which will be chaired by Mark Ford – currently chairman of the Auckland Transition Agency.

Auckland Transport will replace the nine separate existing transport entities across the city.

Mr Joyce says the result will be an agency equipped to provide the focus and continuity in decision-making needed to deliver a transport network that supports Auckland’s growth and economic success.

“Given the role and functions of Auckland Transport, it is imperative to ensure the board has a good mix of commercial, infrastructure and local government experience. I’m also pleased with the continuity that will be brought to the table by having both the current and former chairs of ARTA serving on the new board.

“I am very impressed with the makeup of this Board and look forward to working alongside them and the new Auckland Council following next month’s elections,” said Mr Joyce.

The appointments are for a term of between one and three years. Furthermore, the Auckland Council will be able to appoint between one and three additional directors to each of the boards once the council is established

Mr Hide noted that there was a very high level of interest in the positions, with over 200 nominations received for the 31 roles.

The Auckland Council’s new CCOs include Auckland Council Investments Ltd (ACIL), Auckland Tourism, Events and Economic Development Ltd (TEED), Regional Facilities Auckland (RFA), Auckland Council Property Ltd (ACPL), Auckland Waterfront Development Agency (AWDA), and the statutory entity Auckland Transport.

Remuneration per annum for directors and chairs was determined by way of benchmarking against comparable organisations, including other CCOs and state owned enterprises, as well as a range of private sector organisations.

The asset base, budgets, revenues and staff size, as well as the complexity and level of risk, were all taken into account when recommending fee levels.

As such, ACIL, TEED, RFA and ACPL’s directors initial fees per annum will be $35,000, deputy chairs $43,750 and the chairs $70,000.

For the AWDA directors fees will be $40,000, the deputy chair $50,000 and the chair will earn an initial fee of $80,000 per annum.

Auckland Transport’s directors will earn $52,500 its deputy chair will earn $66,625 and the chair $105,000 per annum.

The Auckland Council will establish its own remuneration policy for CCOs once it is in place.

Watercare is a continuing council organisation until it becomes a full Auckland Council CCO in June 2012. Its existing Board will stay in place, with no further appointments announced.

The Auckland Transition Agency gathered the nominations which were forwarded to Ministers for their consideration and decision following an initial assessment by Sheffield Search.

“The new CCO directors will be effective from November 1, ensuring that the Auckland Council will be ready for business from the start.

“We only have to wait for the October election and the new Auckland Council will be up and running under a single Council and mayor, working to help Auckland reach its potential,” Hon Hide said.

Appointments to Boards of Auckland Council CCOs

Auckland Council Investments Ltd (ACIL) and Auckland International Airport Limited (AIAL)

Chair: Simon Allen BSc, BCom

Mr Allen has significant governance experience, including six years as Chair of the New Zealand Stock Exchange. Until recently he was the Chief Executive Officer of ABN Amro New Zealand Limited, and he presently serves as a Director of a number of investment companies including Xylem Investments, Big Bonds (NZ) Limited, McConnell Property and Breakwater Investments Limited. He will hold the position of Chair of ACIL for a period of two years, as well as to the position of Chair of the Board of ACI (AIAL) Ltd for the same period.

Deputy Chair: Miriam Dean QC LLB, LLM

QC and Barrister in sole practice; Ms Dean is a Director of the Auckland Transition Agency and Crown Fibre Holdings Limited. Ms Dean’s former Directorships include the Commerce Commission. Until 1995 she was a partner with law firm Russell McVeagh. She will hold the position of Deputy Chair for a period of one year, as well as the position of Deputy Chair of the Board of ACI (AIAL) Ltd for the same period.

Candis Craven ONZM MA (Hons), Grad Dip Bus

MsCraven is a Director oftheAuckland Regional Amenities Funding Board and a Board Member of the Public Trust. Until June 2010, she was Chair of the Investment & Finance Committee of the ASB Community Trust. Ms Craven is also Chair of the New Zealand Contemporary Arts Trust and a Board Member of the Occupational Therapy Board of New Zealand. She will hold the position of Director for a period of three years.

Auckland Tourism, Events and Economic Development Ltd (TEED)

Chair: David (Dave) McConnell BE, MBA

Mr McConnell is Managing Director of the McConnell Group, following a career in engineering consulting. He is a Director of the Committee for Auckland. Mr McConnell has previously served on the Boards of Mighty River Power, TelstraClear Pacific Trust and the University of Auckland Business School, among others. He will hold the position of Chair for a period of two years.

Deputy Chair: Peter Drummond NZOM

A professional Director since 1989, Mr Drummond is a Director of Watercare Services (formerly Chair) and Manukau Water as well as being the Chair of Appliance Connexion Ltd and a Director the National Association of Appliance Retailers (NARTA) in New Zealand and Australia. Mr Drummond is presently the Chair of the Museum of Transport and Technology (MOTAT) and the United Fire Brigades Association. He will hold the position of Deputy Chair for a period of one year.

Norman (Norm) Thompson

Mr Thompson is Deputy Chief Executive of Air New Zealand, following a long career with the airline. He is a Director of a number of Air New Zealand subsidiaries and associated companies, including Altitude Aerospace Interiors, of which he is Chair. He is also the Chair of both the Tourism Industry Association of New Zealand and the Tourism Exchange, and is on the Board of UNICEF New Zealand. He will hold the position of Director for a period of three years.

John Law

Presently a Director of the Auckland Transition Agency, Mr Law has a wealth of local government experience, serving as Mayor of Rodney District Council from 2001 to 2007. Mr Law’s earlier career was with the Wilson and Horton Group, where he worked in advertising and promotions, and was subsequently appointed Group Advertising and Sales Manager. Mr Law has extensive community governance experience, including the Chairmanship of the Te Aroha Trust, the Auckland Mayoral Forum and the Newspaper Advertising Bureau. He will hold the position of Director for a period of one year.

Vivien Bridgwater

Ms Bridgwater is General Manager of University Relations & Advancement at the Auckland University of Technology. Before that, she was co-founder and manager of Mai FM. Ms Bridgwater serves on the Youthline Auckland Trust Board and is a Director of Metrolink Bus Limited. She has previously been a Director of Television New Zealand. Ms Bridgwater is of Ngati Whatua descent. She will hold the position of Director for a period of two years.

Regional Facilities Auckland (RFA)

Chair: Rt. Hon Sir Don McKinnon ONZ GCVO

A former Deputy Prime Minister of New Zealand and Minister of Foreign Affairs, Sir Don spent eight years as the Commonwealth Secretary General. He is presently the Chair of Just Water International Limited and has served as a Trustee of a number of not for profit organisations. Sir Don is currently Interim Director of the Auckland War Memorial Museum. He will hold the position of Chair for a period of two years.

Deputy Chair: Dame Jenny Gibbs CNZM BA, MA

Dame Jenny is well known as a patron of the arts, having served as a Trustee on the Arts Foundation New Zealand, the Auckland Art Gallery Trust, the Auckland Contemporary Arts Trust, the Museum of New Zealand, New Zealand Opera Company and the Auckland Festival. In addition to her work in the arts, Dame Jenny served on the Auckland University Council from 1975 to 2009, including two terms as Pro Chancellor. She is currently a Director of Sea + City Projects Limited. She will hold the position of Deputy Chair for a period of three years.

Hugh Burrett

Mr Burrett’s earlier career included nearly 50 years with ASB Bank, the last seven as Managing Director. Mr Burrett serves as a Director of the Committee for Auckland, and is a member of the Business Roundtable and the Financial Services Institute of Australia. He is also a member of the Eden Park Trust Board. He will hold the position of Director for a period of one year.

Peter Stubbs LLB (Hons)

A partner with Simpson Grierson since 1991, Mr Stubbs has broad governance experience, including eight years on the New Zealand Tourism Board Currently Chair of the Aotea Centre Board of Management and a Director of Dunedin Venues Limited, Mr Stubbs has also served as Chair of the Hamilton City Council Events and Sponsorships Sub-committee. He will hold the position of Director for a period of one year.

Derek Dallow LLB

A partner at Davenports Harbour Lawyers, Mr Dallow has a long history of community and business involvement. Mr Dallow was the Founding Member of the North Harbour Club and Business Network International, and a Founding Trustee of North Harbour Stadium. He is presently a member of the Eden Park Trust Board and Enterprise North Shore and is Chair of the Massey University Advisory Board. He will hold the position of Director for a period of two years.

Rukumoana Tira Marie Schaafhausen LLB

Ms Schaafhausen is a Director of Tainui Group Holdings Limited and Chair of the Audit and Risk Committee. In addition, she is a Trustee of the SENZ Training & Employment Charitable Trust and a Director of Genesis Energy. Ms Schaafhausen’s prior appointments include the Board of the Committee for Auckland and she was group legal counsel for Landcorp/Todd Properties. Ms Schaafhausen is of Tainui descent. She will hold the position of Director for a period of two years.

Auckland Council Property Ltd (ACPL)

Chair: Sir John Wells KNZM CA

Sir John is currently a professional Director and Chair of a number of companies including the Auckland City Property Enterprise Board, Fisher Funds Management Limited, Rugby New Zealand 2011 Limited, Sheffield Group and the Bancorp Group of Companies. His earlier career was in banking, and Sir John was the Chief General Manager of NZI Financial Corporation Limited before he became the founding Chair and Shareholder of Bancorp Group. He will hold the position of Chair for a period of two years.

Deputy Chair: Richard Aitken BE (Hons) MEngSci

Mr Aitken is currently the Chair of Beca Group Limited, having been its Group Chief Executive Officer from 1995-2009. Mr Aitken’s present directorships include Trustpower, Hutt Valley Water Services and Manukau Water, and he sits on the Board of Governors of Kings College. He will hold the position of Deputy Chair for a period of one year.

Anne Blackburn BA, MA

Ms Blackburn’s earlier career was in banking, and she has extensive experience in the finance sector. Currently a professional Director, her appointments include Wellington Regional Holdings Limited, Television New Zealand and the NZ Venture Investment Fund. She will hold the position of Director for a period of three years.

Peter Wall BCom

Mr Wall is the New Zealand Managing Director of Multiplex Property. He joined Multiplex after the company acquired the $450 million AmTrust portfolio, of which Mr Wall was Chief Executive. Mr Wall has served on the Boards of a large number of subsidiary companies in his capacity as Managing Director. He will hold the position of Director for a period of one year.

Tukoroirangi Morgan

A former Member of Parliament, Mr Morgan has served on a number of Iwi Boards and has been co-negotiator for Tainui on the Waikato River claim. He is Chair of Te Arataura (the Tainui Governance Board) and a Director of the Waikato Raupatu Trustee Company. He will hold the position of Director for a period of two years.

Auckland Waterfront Development Agency Ltd (AWDA)

Chair: Bob Harvey QSO

In addition to his long-held Mayoralty of Waitakere City, Mr Harvey has broad governance experience. He currently sits on the Aotea Centre Board of Management and is Vice President of Mayors for Peace, a Member of the Australasian Mayors’ Council for Climate Change Coordination Committee, and until recently was President of the New Zealand Peace Foundation and a Director of Te Papa Tongarewa. He will hold the position of Chair for a period of two years.

Deputy Chair: Adrienne Young Cooper BA, MSc

Ms Young Cooper had an extensive background as a local government planner before establishing Hill Young Cooper Limited in 1995. She is now a professional director. Her present directorships include Solid Energy, Auckland Regional Transport Authority, Maritime New Zealand, Auckland City Property Enterprise Board, Housing New Zealand Corporation and the Hobsonville Land Company. She will hold the position of Deputy Chair for a period of one year.

Kerry Stotter CA

After an earlier career as a Partner with KPMG, Mr Stotter has become a professional Director and Chair. He is currently the Chair of Sea + City Projects and Tironui Music Trust, and is a Director of Stracon New Zealand Limited and the New Zealand Rugby Players Association. He will hold the position of Director for a period of one year.

Ngarimu Blair BA

Mr Blair is the Heritage and Resource Manager for Ngati Whatua o Orakei Corporate Limited. Mr Blair is presently a Director of Nga Tira Consulting and Moffitt Rewiti Blair. His prior governance experience includes the Boards of a number of Ngati Whatua subsidiary companies and trusts. Mr Blair is of Ngati Whatua descent. He will hold the position of Director for a period of three years.

Terry Kayes ME, Grad Dip Bus Studs

A professional engineer, Mr Kayes was Managing Director of Tonkin and Taylor Limited until 2006. He was a Director of Watercare Services until earlier this year, and has served on the Board on Tonkin and Taylor Group and a number of associated companies. He will hold the position of Director for a period of two years.

AucklandTransport

Chair: Mark Ford BA

Currently Executive Chair of the Auckland Transition Agency, Mr Ford’s previous roles include Chief Executive of Watercare Services Ltd, Chair of the Auckland Regional Transport Authority, Chief Executive of Auckland Regional Services Trust, Chair of the Energy Efficiency and Conservation Authority, Chief Executive of New Zealand Forestry Corporation and member of the Board of Ports of Auckland Ltd. He will hold the position of Chair for a period of one year.

Deputy Chair: Philippa Dunphy BHortSci, CFA

Ms Dunphy is Chair of the New Zealand Clearing and Depository Corporation Limited, as well as a Director of New Zealand Post, the Accident Compensation Corporation and Mint Asset Management, and a selection committee member for the New Zealand Super Fund. She was previously Executive Director, Investment Banking and Head of Debt Capital for Goldman Sachs JB Were and Head of Capital and Risk Management, Wholesale Financial Services at the Bank of New Zealand. She will hold the position of Deputy Chair for a period of three years.

Rabin Rabindran LLB, MA

A barrister and legal consultant, Mr Rabindran is currently Chair of the Auckland Regional Transport Authority and Chair of the Rugby World Cup Transport Forum. He is also a Director of Manukau Water Ltd, New Zealand Liaoning International Investment & Development Company Ltd, Tomorrow's Manukau Properties Ltd and TMPL (Flat Bush) Ltd. He is the Singapore Chapter Chair on the ASEAN New Zealand Combined Business Council and a Trustee of the Chinese Language Foundation. He will hold the position of Director for a period of one year.

Dr Ian Parton BE (Hons) PhD (Engineering)

Dr Parton is a professional Director following a career in consulting engineering, including 15 years as Managing Director of Meritec/Worley Group and five years as Chair of Maunsell. Presently Interim Chief Executive of Watercare Services, Dr Parton also serves as an Independent Director of VT Fitzroy and Industrial Research Limited. He will hold the position of Director for a period of two years.

Paul Lockey BCom, MBA

Mr Lockey spent most of his earlier career with Lion Nathan Limited, including roles as Company Secretary and Chief Financial Officer. He has broad governance experience, having served on a number of subsidiary Boards for Lion Nathan, as well as the Board of the Enterprise New Zealand Trust. He will hold the position of Director for a period of two years.
