Nominations for Fonterra Board of Directors’ Election Now Open

Nominations for the Fonterra Board of Directors’ Election open today, 6 July with an election to be held for three farmer-elected Directors.

Incumbent Directors Nicola Shadbolt, Ashley Waugh and John Wilson are required to retire under the rotational retirement cycle. They may all stand for re-election if they wish - none have announced their intentions at this stage.

The Independent Nomination Process will be run first with nominations needing to have been received by the Returning Officer, Warwick Lampp ofelectionz.com by 12 noon on Monday, 23 July 2018.

The Returning Officer will announce the Independent Nomination Process candidates on Monday, 10 September 2018.

The Self-Nomination Process, where farmers can put themselves forward as a candidate for the Board outside the Independent Nomination Process, will follow with the nomination period running from Monday, 10 September 2018 to Thursday, 20 September 2018.

The Returning Officer will confirm all Farmer Directors’ Election candidates on Monday, 24 September 2018.

The Directors’ Election will be held using the ‘first past the post majority’ system via postal and online voting by Fonterra shareholders.

Please note: The Director Election Rules provide that prospective candidates can choose to go through either the Independent Nomination Process or the Self-Nomination Process, but not both, in the same election cycle.

Fonterra shareholders are eligible to stand for the Fonterra Elections. Candidates must satisfy eligibility requirements in order to be elected and further procedural requirements are specified in the Election rules.

Nominations for the Shareholders’ Council and Directors’ Remuneration Committee Elections will be called for by the Returning Officer on Monday, 3 September, with nominations closing at 12 noon on Thursday, 20 September 2018.
Shareholders’ Councillors in the following nine wards are required to retire under the rotational retirement cycle. The respective Councillors’ intentions as to their re-standing or retiring will be announced closer to the call for nominations.
Ward 1 - Northern Northland Ward 4 - Waikato West

Ward 7 - Waipa Ward 10 - Northern Bay of Plenty

Ward 13 - Central Taranaki Ward 16 - Central Districts West

Ward 19 - Tasman/Marlborough Ward 22 - South Canterbury

Ward 25 - Western Southland

Directors’ Remuneration Committee members David Gasquoine and Stephen Silcock retire by rotation. Both are eligible for re-election.
