Abano Stands by Special Meeting Date
On 23 May 2014, Abano Healthcare Group Limited (NZX: ABA) gave notice of a special meeting of shareholders to be held on 13 June 2014. This followed a valid requisition notice received on the evening of 6 May 2014 from James Reeves and by the registered shareholder for interests associated with Peter Hutson.
The NZX approved the notice of meeting on 21 May 2014, and following printing, the notice of meeting was posted to all shareholders on 23 May 2014.
The notice of meeting provided 13 working days’ notice for the special meeting, which exceeds the 10 working days’ notice period required by the Companies Act.
James Reeves has today filed proceedings in the High Court seeking orders to postpone the special meeting to a date that is three to four weeks after 13 June 2014.
Abano sees no justification for changing a legally valid date.
In parallel, Michael Timoney, former CEO of Dental Partners Pty Limited, Abano’s Australian dental subsidiary, has served a claim for A$4.5m in relation to his termination in early 2013. Abano sees no merit and will strongly defend this claim.
