Vital rights offer – reminder of closing date and available actions
On 4 July 2013, Vital Healthcare Property Trust (‘Vital’) issued a simplified disclosure prospectus (‘Prospectus’) detailing a 1:10 pro rata renounceable offer of new units to existing unitholders (the ‘Offer’).
Unitholders should have by now received a copy of the Prospectus detailing their rights to subscribe for New Units (‘Rights’) under the Offer. The Manager wishes to remind unitholders that the Offer closes at 5.00pm on 16 August 2013 and of the actions available to them.
Eligible unitholders may take the following actions:
• Take up all or some of their Rights;
• Sell all or some of their Rights;
• Take up some of their Rights and sell all or some of the balance; or
• Do nothing with all or some of their Rights.
The Rights of unitholders who do nothing will lapse and those unitholders will not be able to subscribe for any New Units or realise any value for their Rights.
Unitholders who take up all of their Rights may also apply for Additional New Units under the Oversubscription Facility.
Those unitholders who have already completed and returned their application forms with payment to Computershare Investor Services need not take any further action.
Any unitholders wishing to accept the Offer and take up all or some of their Rights should do so promptly, to ensure their application and payment is received by Computershare Investor Services, by 5.00pm on 16 August 2013.
Unitholders wishing to sell their Rights on the NZX Main Board must do so before the Rights cease trading at 5.00pm on 12 August 2013.
Further details of the Offer and the Oversubscription Facility are set out in the Prospectus. The Prospectus sets out important information about the Offer. Before making an investment decision, investors are encouraged to read the Prospectus in full and consider carefully the risks which are described in it. If any person is in doubt as to what they should do, they should consult their financial or other professional adviser or an NZX primary market participant.
If any unitholder has not received details of their Rights or a copy of the Prospectus, or has misplaced their copy, they should contact Computershare Investor Services on (09) 488 8777.
